This User Agreement applies to account registration, login, access, content publication, interaction, certification display, file upload, notice delivery, and other internet information services provided through the SkillUPEDLIV platform (the “Platform”). By registering an account, publishing content, applying for certification, purchasing or using any Platform function, you acknowledge that you have read, understood, and agree to be bound by this Agreement and the Platform’s companion rules.
1. Scope of Agreement and Rule System
This Agreement, together with the Privacy Policy, the Content Management Policy, the Purchase and Refund Policy, the Account Cancellation Agreement, and other rules, notices, and page prompts subsequently released by the Platform, forms the complete service rule system of the Platform.
The Platform may amend or update the foregoing rules in response to laws and regulations, regulatory requirements, product upgrades, or operational needs. Where required, the Platform will provide reasonable and prominent notice. Continued use of the Platform after an update takes effect constitutes acceptance of the updated rules.
2. Account Registration and Management
Users must provide truthful, lawful, and valid identity information and related materials when registering and using a Platform account. Identity impersonation, account rental, lending, transfer, sale, purchase, or malicious multi-account registration is strictly prohibited.
To ensure service security and fulfill compliance obligations, the Platform may require users to complete real-name verification, supplement account information, or undergo risk-control and security verification. If a user refuses to cooperate, the Platform may restrict some account functions, suspend services, or take other reasonable risk-control measures.
Users shall properly safeguard their account credentials, verification codes, login devices, and identity instruments, and shall bear responsibility for all activities carried out under their accounts, except where otherwise provided by law.
3. Platform Services and Service Boundaries
The Platform provides services including but not limited to information display, transaction matching support, content distribution, certification display, interaction, notices, file upload, complaint handling, and related technical support. Specific services shall be subject to the functions actually made available by the Platform from time to time.
The Platform is an information service and transaction-matching support platform. Unless expressly stated otherwise in writing, it does not directly provide offline teaching services, does not assume the role of a direct teaching service provider, and does not guarantee the authenticity, legality, professional competence, or performance outcome of users as independent service providers.
4. User Conduct
Users shall comply with applicable laws, regulations, this Agreement, and all Platform rules, and shall not engage in any conduct that disrupts the Platform’s normal operation, infringes lawful rights and interests, or circumvents Platform review, security, or governance mechanisms.
Users shall not use scripts, automated programs, scraping tools, or other technical means to maliciously register accounts, scrape content, interfere with interfaces, manipulate transactions, create false traffic, or otherwise abuse the Platform. Users are also prohibited from publishing false information, infringing content, unlawful promotional content, privacy-violating materials, or any content prohibited by the Platform.
5. Data, Privacy, and Intellectual Property
The Platform processes personal information in accordance with applicable laws and the Privacy Policy. Users remain responsible for the legality, authenticity, and authorization basis of the content, credentials, and materials they upload, publish, or otherwise submit to the Platform.
The Platform’s name, logos, trademarks, page structure, and associated intellectual property belong to the lawful rights holder. Users may not copy, modify, distribute, transfer, or commercially exploit Platform content or marks without authorization.
6. Breach, Suspension, and Termination
If a user violates this Agreement or any Platform rules, the Platform may, according to the nature and severity of the violation, delete content, restrict exposure, suspend functions, freeze transactions, suspend services, terminate the account, or take other lawful governance measures. Where necessary, the Platform may also report the matter to competent authorities and pursue liability in accordance with law.
The Platform may suspend, adjust, optimize, or discontinue some services due to business planning, technical upgrades, system maintenance, cybersecurity, or regulatory requirements. Where practicable, the Platform will provide reasonable notice and take commercially reasonable steps to reduce user impact.
7. Governing Law and Dispute Resolution
This Agreement shall be governed by the laws of the People’s Republic of China. Any dispute arising out of or in connection with this Agreement or use of the Platform shall first be resolved through friendly consultation. If consultation fails, either party may submit the dispute to a court with competent jurisdiction at the domicile of the Platform’s operating entity.
