This Agreement applies to users applying to operate as merchants on the SkillUPEDLIV platform and to connect as WeChat Pay sub-merchants under the Platform’s service-provider arrangement. By completing the relevant onboarding process, the merchant acknowledges and agrees to be bound by this Agreement, Platform rules, and applicable WeChat Pay compliance rules.
1. Merchant Qualification and Access
Merchants must complete the Platform’s certification requirements and all required WeChat Pay sub-merchant real-name authentication, qualification review, and access procedures before opening merchant functions and related payment features.
2. Merchant Obligations
Merchants shall ensure that their qualifications, business scope, goods or services, pricing, promotional statements, and operating conduct are truthful, lawful, and compliant. Merchants shall independently bear responsibility for their business conduct, tax compliance, dispute handling, after-sales obligations, and all liabilities arising from the merchant’s own acts.
3. Platform Role and Scope
The Platform may provide merchant onboarding support, identity verification assistance, payment access support, transaction display, order circulation, notification, settlement assistance, complaint coordination, and risk-control governance. The Platform remains an information service and technical support platform and does not replace the merchant’s own legal responsibilities as the actual transaction party.
4. Payment, Settlement, and Compliance
Payment access, collection, settlement, and account handling shall be subject to the WeChat Pay service-provider and sub-merchant rule system, applicable payment compliance rules, Platform rules, and other binding legal requirements. The Platform may take necessary governance measures where abnormal transactions, fraud, regulatory risk, or rule violations are identified.
